LLP registration online: RUN-LLP, FiLLiP and Form 3
A Limited Liability Partnership is registered under the LLP Act, 2008 on the MCA V3 portal in three filings: RUN-LLP for the name, FiLLiP for incorporation, and Form 3 for the LLP agreement within 30 days.
Digital signatures (DSC)
Every designated partner signs the MCA forms with a Class 3 DSC. We arrange it online through Aadhaar or video KYC.
Name approval (RUN-LLP)
We check MCA and trademark records and file RUN-LLP with up to two names. An approved name is valid for 3 months.
FiLLiP incorporation form
Partner details, contribution and registered office are filed in FiLLiP, which also allots DPIN/DIN to up to 5 designated partners.
Certificate, PAN & TAN
The Registrar issues the Certificate of Incorporation with your LLPIN. PAN and TAN of the LLP are allotted with it.
Basic requirements
- At least 2 partners, no upper limit. Partners can be individuals or companies (through a nominee).
- At least 2 designated partners who are individuals; at least one must be resident in India (stayed 120 days or more in the financial year).
- No minimum contribution — capital can be cash, property or other agreed contribution.
- A registered office in India (a home address is fine) and a unique LLP name.
After the certificate: LLP agreement (Form 3)
- The LLP agreement sets out profit-sharing, contribution, duties of partners, admission and exit.
- It is printed on stamp paper as per your state’s stamp law and signed by all partners.
- Form 3 must be filed with MCA within 30 days of incorporation; after that, late filing attracts additional fees as per MCA rules.
- Without a filed agreement, the default rules of the LLP Act (equal sharing etc.) apply.

LLP registration fees in 2026
The total cost has three parts: fees paid to MCA, stamp duty on the LLP agreement that goes to your state, and our professional fee. Nothing is hidden.
| Cost item | Amount | Notes |
|---|---|---|
| RUN-LLP name reservation | ₹200 | Up to two names; approved name valid for 3 months. |
| FiLLiP incorporation fee | ₹500 to ₹5,000+ | Depends on total contribution (see next table). |
| DPIN / DIN for designated partners | ₹0 | Allotted within FiLLiP for up to 5 individuals. |
| Form 3 (LLP agreement) | ₹50 to ₹600 | Depends on contribution; due within 30 days. |
| Stamp duty on LLP agreement | Varies by state | Set by state law; often linked to contribution. |
| Digital signatures (DSC) | At actuals | One per designated partner; quoted upfront. |
| Our professional fee | ₹3,999 / ₹5,999 + GST | Basic / Premium plan, as listed above. |
MCA fees by contribution
| Total contribution | FiLLiP fee | Form 3 fee |
|---|---|---|
| Up to ₹1 lakh | ₹500 | ₹50 |
| ₹1 lakh – ₹5 lakh | ₹2,000 | ₹100 |
| ₹5 lakh – ₹10 lakh | ₹4,000 | ₹150 |
| ₹10 lakh – ₹25 lakh | ₹5,000 | ₹200 |
| Above ₹25 lakh | ₹5,000+ | ₹400 – ₹600 |
Example: for ₹1 lakh contribution, MCA fees are ₹200 + ₹500 + ₹50 = ₹750, plus state stamp duty and DSCs. Stamp duty on the LLP agreement differs a lot between states (some charge a fixed amount, others a percentage of contribution with a cap) — we confirm the exact figure for your state and contribution before you pay.
LLP vs private limited company vs partnership firm
An LLP gives limited liability like a company, with the flexibility and lower compliance of a partnership.
| LLP | Private Limited | Partnership | |
|---|---|---|---|
| Liability | Limited to contribution | Limited to shares | Unlimited, personal |
| Members | 2+ partners, no maximum | 2 to 200 shareholders | 2 to 50 partners |
| Audit | Required unless turnover is up to ₹40 lakh and contribution is up to ₹25 lakh | Every year | Only tax audit, if applicable |
| ROC filings | Form 11 and Form 8 | AOC-4, MGT-7/7A, AGM | None |
| Income tax | 30% + cess (surcharge above ₹1 crore) | 22% option (about 25.17% effective) | 30% + cess |
| Funding | No shares or ESOPs | Easiest for investors | Hardest |
| Best for | Professionals, consultants, family businesses | Startups planning to raise funds | Small local businesses |

LLP annual compliance and due dates
An LLP has far fewer filings than a company, but the additional fee for a late form rises the longer it is delayed. Our team tracks every date for you.

|---|---|---|
| Form 3 – LLP agreement | Within 30 days of incorporation | Additional fees as per MCA rules |
| Form 11 – annual return | 30 May every year | Additional fees as per MCA rules |
| Form 8 – statement of account & solvency | 30 October every year | Additional fees as per MCA rules |
| ITR-5 – income-tax return | 31 August (no audit); 31 October (audited). FY 2025-26 audited: 21 November 2026 | Late fee, interest, loss of carry-forward |
| DIR-3 KYC of designated partners | Once every 3 years, by 30 June | DIN deactivated; ₹5,000 to reactivate |
| Statutory audit of accounts | Required unless turnover is up to ₹40 lakh and contribution is up to ₹25 lakh | Form 8 cannot be filed correctly |
Audit: rule 24(8), LLP Rules, 2009.

LLP registration guides
LLP registration online – FAQs
How long does LLP registration take?
Usually 7–10 working days from the day we receive complete documents and DSCs. This includes MCA’s processing of RUN-LLP and FiLLiP. If MCA asks for a resubmission or rejects a name, it takes longer.
What is the government fee for LLP registration?
For a contribution up to ₹1 lakh, MCA fees are ₹200 for RUN-LLP, ₹500 for FiLLiP and ₹50 for Form 3 — ₹750 in total. Stamp duty on the LLP agreement depends on your state, and DSCs are extra. FiLLiP fees rise with contribution, up to ₹5,000 or more.
How many partners are required to start an LLP?
At least 2 partners, with no upper limit. At least 2 designated partners must be individuals, and at least one of them must be resident in India, meaning they stayed in India for 120 days or more in the financial year.
Is there a minimum capital requirement for an LLP?
No. There is no minimum contribution. Partners can contribute any amount in cash, property or other agreed form, as recorded in the LLP agreement. A lower contribution also keeps MCA fees low.
What is FiLLiP and what is RUN-LLP?
RUN-LLP is the MCA web form to reserve the LLP name for a fee of ₹200. FiLLiP (Form for incorporation of LLP) is the main incorporation form; it also allots DPIN/DIN to up to five designated partners, and PAN and TAN are allotted with the certificate.
When must the LLP agreement be filed?
The LLP agreement must be filed in Form 3 within 30 days of incorporation. Late filing attracts additional fees as per MCA rules. The agreement is executed on stamp paper as per the stamp law of your state.
What are the annual compliances for an LLP?
Every LLP files Form 11 (annual return) by 30 May and Form 8 (statement of account and solvency) by 30 October, plus its income-tax return in ITR-5. Accounts must be audited unless turnover is up to ₹40 lakh and contribution is up to ₹25 lakh, and designated partners file DIR-3 KYC once every three years.
What is the penalty for late filing of Form 11 or Form 8?
Late filing of Form 11 or Form 8 attracts additional fees as per the LLP Rules, which increase with the delay. Our team tracks both due dates so you avoid them.
Which is better: LLP or private limited company?
An LLP suits professionals, consultants and family businesses that want limited liability with lower compliance. A private limited company is better if you plan to raise equity, issue ESOPs or bring in investors. We help you decide in a free consultation.
Can an NRI or foreign national be a partner in an LLP?
Yes. NRIs and foreign nationals can be partners and designated partners, subject to FDI rules for your sector. Their passport and address proof must be notarised or apostilled, and at least one designated partner must be resident in India.
